UA REWARDS MEMBERSHIP PROGRAMME

TERMS AND CONDITIONS

1. GENERAL

1.1. These terms and conditions (“ Terms”) govern your participation in the UA Rewards Membership Programme (formerly known as the Armour Club Membership Programme) (“ Programme"). If you do not accept any of these Terms, please do not access or participate in the Programme. In order to access or participate in the Programme you must confirm that you have read and agreed to be bound by these Terms.

1.2. The prevailing terms and provisions of the Under Armour General Terms and Conditions of Use (accessible at Terms & Conditions) are incorporated in these Terms and made a part hereof as it the same were fully set forth herein. In the event of any inconsistency, conflict or discrepancy between the Under Armour General Terms and Conditions of Use and these Terms, these Terms shall prevail.

1.3. In these Terms:

1.3.1. “ Under Armour”, “ we”, “ us” and “ our” refer to the entit(ies) that administer the Programme in Participating UA Channels (as herein defined below) and on the Participating UA Brand Site (as herein defined below) in your respective country/region.

1.3.2. “ You” and “ your” refer to any person who is registering or who has registered for an UA Rewards Membership Account (“ Account”).

1.4. The Programme is currently administered in Singapore, Malaysia, Thailand and Hong Kong in Participating UA Channels in each country/region by the following Under Armour entities:

1.6. Where you are an existing member of the Programme prior to the Transition Date, you agree that the rights, benefits and obligations arising under the terms governing the Programme prior to the Transition Date, are hereby assigned, novated or otherwise transferred from Triple Pte Ltd to the Under Armour entit(ies) that administer the Programme in Participating UA Channels and/or on Participating UA Brand Sites in your country/region as listed in clauses 1.4 to 1.5 above.

1.7. The Programme is a privilege scheme, and is not a credit or charge system. Your Account shall not be transferable or assignable and is solely for your personal use and benefit only.

1.8. We may at any time in our sole and absolute discretion, alter, limit, or modify these Terms, including but not limited to the rules, regulations, benefits, eligibility for membership and features of the Programme, to the extent permitted by applicable laws. Any changes shall be updated on our website, depending on the country/region in which your Account is issued, at:

You should also check our website from time to time to review the Terms and to ensure that you understand all the Terms that apply to you. As a Member (as defined below), your continued access of or participation in the Programme shall indicate your acceptance of any revised Terms.

1.9. We may at any time, in our sole and absolute discretion, without giving any reason or notice, and to the maximum extent permitted by applicable law, without any liability to any party modify, suspend or terminate this Programme, or any privilege, benefit, service, discount, promotion, reward, activity and/or event in connection with the Programme.

1.10. These Terms may be made available in languages other than English. To the extent of any inconsistencies or conflicts between these Terms and other versions of the Terms in any other language, the English language version shall prevail.

1.11. Location-specific terms. Depending on the jurisdiction where you have signed up for the Programme, additional location-specific terms as set out in Schedule A may apply. The terms set out in Schedule A are in addition to the terms set out in these Terms, and forms part of these Terms. In the event of any conflicting terms between these Terms and Schedule A, the country/region-specific terms in Schedule A shall prevail.

2. INTERPRETATION AND DEFINITIONS

2.1. In these Terms, the following words and expressions shall have the meaning assigned hereunder unless clearly stated otherwise or where the context otherwise requires:

Members

means all members of the Programme who have agreed to these Terms and have registered for the Programme.

Brand House

means Under Armour’s standalone stores that are not located within a departmental store.

Factory House and pop-up sales stores

means Under Armour’s temporary sale location selling goods at discounted prices. Such sale locations may change as determined by us from time to time.

Shop In Shop

means Under Armour’s stores that are located within departmental stores.

Participating Merchants

means any participating merchant outlet, third party operator, services provider or supplier who have an agreement with us to provide the Rewards to Members in connection with the Programme.

Participating UA Brand Sites

means the online platforms that are owned, operated, or franchised by us, and which are participating in the Programme. A list of the Participating UA Brand Sites may be found Here . We reserve the right to amend the list of Participating UA Brand Sites, from time to time at our sole and absolute discretion and without any prior notice to you.

Participating UA Channels

means all recognised physical channels that are owned, operated and/or franchised by us, and which are participating in the Programme. These may include selected Brand House stores, Factory House and pop-up sales stores and/or Shop-in-shop stores. A list of the Participating UA Channels may be found Here . We reserve the right to amend the list of Participating UA Channels, from time to time at our sole and absolute discretion and without any prior notice to you.

Redemption Voucher

means vouchers that may be issued to Members by us for the redemption of Rewards provided by Participating Merchants.

Rewards

means goods, services, benefits or other privileges (other than cash) which members may redeem or obtain under the Programme, as we may, at any time and in our sole and absolute discretion determine.

Shop-in-shop stores

means Under Armour’s stores located within departmental stores.

Transition Date

means 4 October 2022.

UA Parties

Under Armour, its affiliates, agents, licensors, or their respective directors or employees.

Hong Kong

means the Hong Kong Special Administrative Region of the People’s Republic of China.

 

2.2. References in the Terms to words referring to the singular meaning shall encompass the plural meaning and vice versa.

3. MEMBERSHIP ACCOUNT REGISTRATION

3.1. In registering and applying for an Account, you represent and warrant that:

3.1.1 all registration information provided by you is and will continue at all times to be true, accurate, current and complete to the best of your knowledge and belief;

3.1.2 you will promptly update us of any changes to your registration details; and

3.1.3 you are at least 18 years old, or of the age of majority in your country/region if such majority age is higher than 18 years old, and have full capacity and authority to (and do) accept and agree to these Terms.

3.2. To the maximum extent permitted under applicable law, we shall have the sole discretion to approve or reject your application for an Account without offering any reason.

3.3. Upon successful registration of your Account, you, as the account holder:

3.3.1. shall not allow any other person to access or use your Account. It is your responsibility to ensure the security of, and your continuous control over, your Account; and

3.3.2. shall notify us immediately if you have any reason to believe that the security of your Account has been compromised.

3.4. You may not share your Account with any third party. You are solely responsible for any and all activities that occur under your Account. We are entitled to treat all activities that occur under your Account as having been conducted with your knowledge and authority. For the avoidance of doubt, in cases where you have negligently or otherwise allowed any other person to access or use your Account, you agree that you are fully responsible for:

3.4.1. the conduct of such other user on your Account;

3.4.2. controlling such other user’s access to and use of your Account; and

3.4.3. the consequences of any use or misuse of your Account by such other user.

3.5. You acknowledge and agree that we may access your Account and its contents as necessary for purposes including identifying or resolving technical problems, verifying or ensuring your compliance with these Terms or responding to complaints without prior notice to you and in accordance with the UA Rewards Membership Programme Privacy Policy.

3.6. You represent, undertake and warrant that you will:

3.6.1. provide us with all necessary information and/or produce all necessary documents as may be required by us in order to facilitate your participation in the Programme; and

3.6.2. comply with all applicable laws and regulations with respect to your participation in the Programme.

3.7. We may, if required or in accordance with applicable laws, check and verify the information that you have provided to us. You agree to cooperate and extend to us any assistance that we may require for such checks and verification.

4. EARNING OF MEMBERSHIP POINTS

Qualifying Transactions

4.1. You may earn points by:

4.1.1. making purchases from selected Participating UA Channels (please refer Here ) and Participating UA Brand Sites in Singapore, Malaysia, Thailand and Hong Kong; and

4.1.2. completing certain actions or participating in certain activities as we may determine from time to time,

(collectively, “ Qualifying Transactions").

4.2. Unless otherwise expressly specified by us in writing, you may earn points from Qualifying Transactions by purchasing UA brand products from participating UA Channels and Participating UA Brand Sites. Depending on where you are located, you will earn points at the rates specified below (“ Point Rates”):

4.3. We reserve the right to amend Point Rates from time to time at our sole and absolute discretion and with reasonable notice to you.

Issuance of points

4.4. To earn points on the Programme, you must provide your Account credentials for Membership identification purposes at the point of performing the transaction with us. It is your sole responsibility to provide your Account credentials at the point of transaction, in order to qualify to earn points on the Programme.

4.5. Our issuance of points may be subject to additional terms and conditions as we may determine from time to time. We reserve the right to, at any time, without prior notice or liability to any party, revise the amount of points awarded to you or correct any errors in the computation of points awarded to you.

4.6. You should allow at least two (2) weeks for points earned by you to appear in your Account before raising a claim for missing points. In the event points earned by you do not appear in your Account, you may request for the missing points to be retroactively credited to your Account by writing to us at the following email address, depending on the country/region in which your Account is issued:

4.7. Subject always to Clause 4.4 above, any claim for missing points must be made within one (1) month of the date of the relevant Qualifying Transaction. Any claim made thereafter shall not be entertained.

4.8. We reserve the right, at any time, in our sole and absolute discretion and without prior notice to any party, deduct or forfeit any points accrued, earned, claimed, collected and/or redeemed in a manner as we determine to be: (a) improper or inappropriate; (b) fraudulent; (c) inconsistent with applicable laws and/or regulations; or (d) an abuse of or contravention of these Terms.

4.9. Points earned by you (a) cannot be shared with or transferred to another Member; and (b) cannot be redeemed, traded or exchanged for cash or other rewards or tokens of value.

Validity of points

4.10. You must use your points to redeem for Rewards during their applicable validity period. There shall be no extension of time for the validity period of any unused points and such unused points will be forfeited at the end of their validity period.

4.11. The points credited to your Account do not expire as long as you make at least ONE (1) Qualifying Transaction every twelve (12) months. If you do not make any Qualifying Transaction within the aforementioned period, the points in your Account will only be valid until the end of the twelfth (12th) month calculated from the last points credit date. As an illustration:

AA makes a Qualifying Transaction on 1 June 2022 and earns 50 points. AA’s 50 points expire in twelve (12) months on 30 June 2023. However, AA makes a subsequent Qualifying Transaction on 15 October 2022 and earns 100 points. The twelve (12) month validity period will refresh and AA's entire balance of 150 points (consisting of the 50 points earned on 1 June 2022 and the 100 points earned on 15 October 2022) will now expire on 31 October 2023.

4.12. Certain transactions may entitle you to earn additional bonus points. We will inform you of your entitlement at the appropriate time and from time to time. For transactions that entitle you to additional bonus points, you hereby acknowledge and agree that to the maximum extent permitted under applicable law no refund or return will be allowed in respect of your purchases.

4.13. The lists of Participating UA Brand Channels and/or Participating UA Brand Sites may be added to and existing Participating UA Brand Channels and/or Participating UA Brand Sites may be removed from the Programme from time to time, at our sole and absolute discretion, and without any prior notice to you. In the event that any Participating UA Brand Channel and/or Participating UA Brand Site are removed from the Programme (“ Removed Channels”), the points earned by you through such Removed Channels prior to their removal from the Programme shall remain valid.

Returns

4.14. Return requests should be made in accordance with the UA returns policies applicable to your jurisdiction, accessible Here . Should a transaction be void or an item(s) from a transaction be returned in accordance with the applicable returns policy, points that you have earned from the respective transaction will be deducted from your points balance.

5. REDEMPTION AND USE OF REWARDS

5.1. You may use your accumulated points or by participating in any qualifying activities to redeem or receive Rewards. A list of Rewards, and the number of points that are required to redeem such Rewards, may be viewed on the UA Rewards mobile application. Rewards featured and offered by us may vary from country/region to country/region and from time to time. We reserve the right to amend the list of Rewards, qualifying criteria and the number of points that are required to redeem such Rewards at any time, and from time to time at our sole and absolute discretion and without any prior notice to you.

5.2. Your redemption of Rewards is subject to the following:

5.2.1. All Rewards are subject to availability and are provided to you in our sole and absolute discretion. Your accumulation of points alone does not entitle you to any rights with respect to any Reward.

5.2.2. All Rewards shall only be redeemed in the country/region where your Account is issued.

5.2.3. Redemptions may be made at selected Participating UA Channels (please refer Here ) or on Participating UA Brand Sites. Further details on the reward redemption process may be found at Help & FAQ .

5.2.4. We may in our sole and absolute discretion, at any time and from time to time without prior notice, vary the Rewards featured or substitute any Reward with another Reward of similar value.

5.2.5. Points earned on two or more Accounts belonging to two or more persons may not be combined for the redemption of Rewards.

5.2.6. A Reward, which has been redeemed, cannot be refunded or exchanged for cash, another Reward or for any other merchandise. For the avoidance of doubt, points used for the redemption of goods or services which are non-refundable / non-returnable shall at all times be deemed to have been used and shall not be credited back to the Account under any circumstance.

5.2.7. You agree to abide by any other relevant terms and conditions, and/or rules and regulations, that we may issue or impose, governing your redemption of Rewards.

5.3. Expiry dates may be applicable to Rewards that are redeemed or received by you and such expiry date shall be final. Rewards will be deemed utilised and forfeited if you fail to redeem or utilise such Rewards within the stated validity period.

Third-party Rewards

5.4. We may offer from time to time, Rewards provided by Participating Merchants. Such Rewards may be offered in the form of Redemption Vouchers or by other means as may be determined by us from time to time. Your redemption of Rewards offered by Participating Merchants is subject to the following:

5.4.1 Your redemption is subject to any and all the terms and conditions as may be stipulated by Participating Merchants.

5.4.2 The redemption of Rewards provided by Participating Merchants, either through the use of a Redemption Voucher or otherwise, is subject to availability of the Rewards. If the Participating Merchant is, for any reason, unable to supply the Rewards, the Merchant may in its sole and absolute discretion vary the Reward or substitute the Reward with another of similar quality and price (but not with cash in any circumstance) or withdraw the Reward.

5.4.3 Where Redemption Vouchers are issued to you, such vouchers shall be issued in your name and under your Account number. Redemption Vouchers are not transferable or assignable and are for your own personal use and benefit. To redeem the Rewards, you must present the Redemption Voucher to the relevant Participating Merchants.

6. PAYMENT AND FEES

6.1. We reserve the right to charge for the registration or maintenance of an Account, our services, and use of features or benefits associated with an Account from time to time. If we charge for the registration or maintenance of an Account, our services or use of the features or benefits associated with an Account, we shall inform you in advance and you shall have the option to make payment to us in accordance with the payment methods and requirements as may be stipulated by us, or to terminate your Account in accordance with clause 10.3 below.

7. DISCLAIMERS

7.1. To the maximum extent permitted under applicable law, the Programme, and any privilege, benefit, service, discount, promotion, reward, activity, and/or event in connection with the Programme, are provided on an "as is" and “as available” basis only with no guarantees, representations, or warranties whatsoever. You agree to participate in the Programme at your own risk.

7.2. The UA Parties shall not be liable or responsible in any manner for any tax consequences which may result from your participation in the Programme. You are solely responsible for the payment of all taxes resulting from your participation in the Programme including your earning, conversion, holding and/or use of points and all applicable filing and/or reporting obligations.

7.3. To the maximum extent permitted by applicable law, we shall not be liable to any person or entity for any direct or indirect loss, damage, injury, claim or liability of any kind (whether actual, consequential, punitive, special or otherwise) however arising and whether caused by tort (including negligence), breach of contract or otherwise, including but not limited to any emotional pain and suffering or mental distress, loss of income or revenue, loss of business, loss of profits or contracts, and loss of anticipated savings, arising out of or resulting from the Programme or any privilege, benefit, service, discount, promotion, reward, activity and/or event in connection with the Programme.

8. LIMITATION OF LIABILITY

8.1. The UA Parties’ cumulative total liability arising under any cause whatsoever (including without limitation breach of contract, tort, negligence, gross negligence, or otherwise) shall be limited to a re-crediting of the number of points in dispute, or where the dispute relates to a particular reward, the number of points required or used to redeem such reward. For the avoidance of doubt, monetary compensation is expressly excluded.

9. INDEMINITIES

9.1. You agree to fully defend, hold harmless and indemnify any one of and all the UA Parties against any and all claims, losses, damages, expenses (including legal costs on a full indemnity basis), or other liabilities (whether criminal or civil) and costs of settlement which may be suffered or incurred by or any one of or all the UA Parties, in respect of any matter or event whatsoever arising directly out of or in connection with:

9.1.1 your breach of any provision in these Terms or the terms of any Participating Merchant;

9.1.2 your unlawful or unauthorised use, access of, or conduct in connection with your Account;

9.1.3 our reliance on false, incomplete or inaccurate information, data or records provided by you in connection with your registration for and use of your Account; and/or

9.1.4 any dispute between you and any Participating Merchant.

10. SUSPENSION AND TERMINATION OF MEMBERSHIP ACCOUNT

Suspension and termination of Account

10.1. We reserve the right to terminate or suspend your Account and withdraw all benefits and privileges associated with your Account at any time, with or without prior notice, and without any liability to any party, upon the occurrence of any of the following events:

10.1.1. In our sole and exclusive opinion, you have or are suspected to have misused or abused the benefits and privileges of the Programme;

10.1.2. In our sole and exclusive opinion, you have or are suspected to have acted fraudulently or dishonestly or in any matter that is otherwise unacceptable to us in relation to your Account and your participation in the Programme; or

10.1.3. You have breached any of these Terms or any other terms and conditions that govern your participation in the Programme including but not limited to Participating Merchants’ terms and conditions.

10.2. Notwithstanding Clause 10.1 above, we may terminate or suspend your Account for any reason and at any time, with [one (1) months’] prior notice to you.

10.3. You may terminate your Account with us at any time by written notification to us, depending on the country/region in which your Account is issued, at:

Consequences of suspension and termination

10.4. In the event that your Account is suspended, reinstatement of your Account is at our sole and absolute discretion.

10.5. Upon suspension or termination of your Membership Account in accordance with these Terms, you acknowledge and agree that:

10.5.1. any accumulated points, rewards, offers, benefits and vouchers will be forfeited and cannot be redeemed, exchanged for cash, transferred and/or claimed for goods and services; and

10.5.2. points, rewards, offers, benefits and vouchers may not be reinstated even after your Account, which has been suspended or terminated, is reactivated.

11. PRIVACY POLICY

11.1. Any personal data or information which you provide to us is also subject to the UA Rewards Membership Programme Privacy Policy, which is incorporated by reference into these Terms.

12. FORCE MAJEURE

12.1. We shall not be liable for any loss, damage or penalty resulting from delays or failures in performance of our obligations under these Terms, where such delay or failure is caused by events beyond our control (a “ Force Majeure Event“). A Force Majeure Event shall include, but is not limited to, acts of God, natural hazard and/or disaster, labour unrest, riot, civil commotion, strikes, lockout, fire, rain or flood (however caused), earthquake, typhoon, war, epidemics, outbreaks, acts of foreign enemies or perils of the sea or other perils, rebellion, revolution, riots, civil war, disturbances, requisitioning or other acts of civil or military authority, laws, regulations, acts or orders of any governmental authority, body, agency or official, embargoes, breakdown of equipment, plant or machinery (including data centre, telecommunications systems and utility services) or other catastrophe.

13. DISPUTE RESOLUTION

13.1. In the event of a dispute arising out of or in connection with the Programme, our decision shall be final and binding on you. We shall have no obligation to enter into any correspondence or discussion with you or give any reason in respect of any decision made by us.

14. GOVERNING LAW AND JURISDICTION

14.1. Unless otherwise expressly stated herein, these Terms are governed by and construed in accordance with the laws of the country/region where the relevant administering entity of the Programme (as listed in clauses 1.4 and 1.5 above) is incorporated, without regard to the principles of conflicts of law, as follows:

14.2. To the maximum extent permitted under applicable law, any dispute or claim arising out of or in connection with the Programme shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“ SIAC”) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed to be incorporated by reference herein. The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator and the language of arbitration shall be English. You and us hereby agree that in the event of any arbitration pursuant to this paragraph 14.2, the arbitration venue and location shall be Singapore (unless the Parties agree otherwise). Any decision and/or awards of the arbitration tribunal shall be final and binding on you and us, and may be used (without limitation) as a basis for judgment in any country which has ratified the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards. In the event that recourse to the courts shall be necessary for the purpose of determining any question of law required to be determined for arbitration, you agree to submit to the exclusive jurisdiction of the courts of Singapore. You agree not to commence any suit, action or proceeding relating thereto except in such courts, and waive, to the fullest extent permitted by law, the right to move to dismiss or transfer any action brought in such courts on the basis of any objection to personal jurisdiction or venue. This arbitral agreement is governed by the laws of the Republic of Singapore.

15. MISCELLANEOUS

15.1. If any provision in these Terms is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. These Terms constitute the entire agreement between us in relation to the subject matter herein and supersede any and all prior or contemporaneous written or oral agreements or representations. Our failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right.

15.2. Other than the UA Parties, a person who is not a party to this these Terms shall have no right to enforce these Terms.

15.3. You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent. We may, by notice in writing to you, transfer or assign any of our rights, or novate any of our rights and obligations, under these Terms.

1.1. Applicability of additional terms.The terms set out in this Paragraph 1 shall apply to you if you are located in Malaysia.

1.2. Notwithstanding anything to the contrary, these Terms will only be applicable to you to the extent that the terms herein are permitted by applicable laws including the consumer protection laws in Malaysia. Nothing in these Terms, whether expressed or implied, is intended to or shall be construed to exclude or restrict any provision(s) of the consumer protection laws in Malaysia.
